Supplier / Vendor Terms

These Supplier Terms apply to businesses that list or sell goods or services through the Zupply Platform (“Suppliers”).
By registering as a Supplier, you agree to these terms.
1. Supplier Eligibility
Suppliers must:
- operate a legitimate business
- comply with all applicable laws
- provide accurate business details
- maintain appropriate licences and certifications where required
2. Product Listings
Suppliers are responsible for ensuring that listings are:
- accurate
- complete
- lawful
- not misleading
Listings must include:
- correct pricing
- product descriptions
- minimum order quantities where applicable
- delivery conditions
3. Order Fulfilment
Suppliers are responsible for:
- accepting or rejecting orders promptly
- fulfilling orders within stated timelines
- ensuring goods meet quality and safety standards
- complying with applicable consumer protection laws
4. Fees and Commissions
Zupply may charge Suppliers:
- platform access fees
- subscription fees
- transaction commissions
- service fees
Applicable fees will be communicated through the Platform or separate agreements.
5. Supplier Conduct
Suppliers must not:
- circumvent the Platform to avoid fees
- misuse user data
- manipulate reviews
- provide false product information
6. Disputes
Suppliers must cooperate with Zupply in resolving disputes between Suppliers and Buyers.
Zupply may assist with dispute resolution but is not responsible for the outcome of supplier transactions.
7. Suspension or Removal
Zupply may suspend or remove Suppliers if they:
- breach these terms
- provide misleading listings
- fail to fulfil orders
- create risk to users or the Platform
8. Supplier Data
Suppliers grant Zupply the right to use listing information and related data for:
- marketplace operation
- marketing the Platform
- improving platform functionality
9. Termination
Suppliers may stop using the Platform at any time.
Zupply may terminate Supplier accounts where terms are breached or where continued participation poses risk to the Platform.
